All software, indicators, and strategies remain the intellectual property of Nextdraw traders. Purchase grants usage rights only, not ownership.

5. Termination

This license is effective until terminated. It terminates automatically if you violate any terms. Upon termination, you must cease use and delete all copies.

Software is provided "as is" without warranties. We do not guarantee uninterrupted operation or specific trading results.

❓ How are commissions calculated?
You earn a percentage of the final sale amount (after any discount applied). For example, if a product sells for $1000 and your commission rate is 25%, you earn $250.

❓ When do I get paid?
Commissions are paid monthly via PayPal, usually within the first week of the following month. Minimum payout is $50.

❓ Can I promote multiple products?
Yes! Your unique discount code works on all our products. You'll earn commissions on every product purchased with your code.

❓ Is there a cost to join?
No – the program is completely free. You only earn when you sell.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, UNDER NO CIRCUMSTANCES SHALL NEXT DRAWS, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR:

Any trading losses, missed profits, or financial damages incurred in connection with your use of any Product.

5.2 Indirect and Consequential Damages

ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

• Loss of profits, revenue, data, or business opportunities;
• Loss of goodwill or reputation;
• Trading losses or missed trading opportunities;
• Emotional distress or psychological harm.

5.3 Third-Party Failures

Damages resulting from:

• Exchange downtime, API failures, or connectivity issues;
• Broker execution problems, slippage, or platform errors;
• Market gaps, volatility, or unusual market conditions.

5.4 User Errors

Damages resulting from:

• User misconfiguration of Product parameters;
• Improper use or misuse of Products;
• Failure to test or validate Products before use.

5.5 Liability Cap

IN NO EVENT SHALL OUR AGGREGATE LIABILITY TO YOU EXCEED THE TOTAL AMOUNT PAID BY YOU TO US FOR THE SPECIFIC PRODUCT GIVING RISE TO THE CLAIM DURING THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

6. RELATIONSHIP WITH PLATFORM PROVIDERS

6.1 Independent Developer

You acknowledge that Next Draws is an independent entity and is not affiliated with, endorsed by, sponsored by, or approved by NinjaTrader, TradingView, or any other platform provider whose software may be compatible with our Products.

6.2 No Endorsement

Any listing of our Products on third-party directories (including the NinjaTrader Ecosystem) does not constitute an endorsement, recommendation, or approval of our Products by such platform providers.

6.3 Platform Terms Control

Your use of any trading platform (including NinjaTrader) is governed by that platform's own terms and conditions. We are not responsible for any violations of those terms arising from your use of our Products.

6.4 Platform Changes

Platform providers may modify their software, APIs, or terms of service at any time, which could affect Product functionality. We are not liable for any such changes or their impact on Product performance.

7. INDEMNIFICATION

You agree to defend, indemnify, and hold harmless Next Draws, its officers, directors, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, debts, and expenses (including but not limited to attorney's fees) arising from:

• (a) Your use of and access to any Product;
• (b) Your violation of any term of these Terms;
• (c) Your violation of any third-party right, including without limitation any intellectual property right, privacy right, or proprietary right;
• (d) Any claim that your use of any Product caused financial loss or damage to you or any third party;
• (e) Any claim brought by any platform provider (including NinjaTrader) related to your use of our Products in connection with their platform; or
• (f) Any dispute between you and any third party, including other traders, brokers, or platform providers.

This indemnification obligation shall survive the termination of these Terms and your use of any Product.

8. INTELLECTUAL PROPERTY RIGHTS

8.1 Ownership

Our Products, including all indicators, scripts, code, documentation, graphics, and written content, are the proprietary property of Next Draws and are protected by copyright, trade secret, and other intellectual property laws.

8.2 License Grant

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to use the Products solely for your personal, non-commercial trading activities.

8.3 License Restrictions

You may NOT:

• Sell, license, sub-license, rent, transfer, or distribute any Product to any third party;
• Modify, adapt, reverse engineer, decompile, or disassemble any Product;
• Create derivative works based on any Product;
• Remove or alter any proprietary notices or labels;
• Use any Product to compete with us, directly or indirectly.

8.4 Confidentiality

You are solely responsible for maintaining the secrecy of any software code and protections related to our Products against reverse engineering or other discovery. We disclaim all responsibility for the protection or secrecy of your copy of any Product.

9. THIRD-PARTY LINKS AND SERVICES

Our website or Products may contain links to third-party websites or services (including NinjaTrader and TradingView). We do not control, endorse, or assume any responsibility for the content, privacy policies, or practices of any third-party websites or services.

Upon termination:

• Your license to use the Product immediately ceases;

• Sections 3, 4, 5, 6, 7, 8, 11, 12, and 13 shall survive termination.
